1. Introduction and Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of Careerquil, including our job board and talent marketplace at talents.careerquil.com (together, the “Platform”), operated by Careerquil (“Careerquil,” “we,” “us,” or “our”).

By creating an account, browsing job listings, applying for roles, hiring a designer, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to both you and that entity.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract
• Not be barred from using the Platform under applicable law
• Provide accurate, current, and complete information when creating an account

We reserve the right to refuse service, suspend, or terminate accounts that do not meet these requirements.

3. Description of Services

Careerquil provides:

• Job Board: a platform where employers can post job listings and job seekers can browse and apply to roles
• Talent Marketplace (talents.careerquil.com): a platform connecting employers with pre-vetted African design talent, including vetting services (portfolio review, skill assessment, technical interviews), matching, and ongoing support
• CV Review Services: paid review and feedback on job seekers’ CVs/resumes

Careerquil acts as an intermediary connecting employers (“Clients”) and designers (“Talent” or “Designers”). We do not guarantee employment outcomes, project outcomes, or the accuracy of information provided by any user.

4. Account Registration and Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. User Conduct

You agree not to:

• Provide false, misleading, or fraudulent information, including fabricated work history, credentials, or portfolio content
• Impersonate any person or entity
• Use the Platform for any unlawful purpose or in violation of any applicable law
• Circumvent, disable, or interfere with security features of the Platform
• Scrape, harvest, or collect data from the Platform using automated means without our written consent
• Post or transmit any content that is defamatory, obscene, discriminatory, harassing, or infringes on the rights of others
• Attempt to bypass Careerquil’s matching and vetting process by contacting Talent or Clients directly to avoid platform fees, where such circumvention is prohibited under Section 9
• Upload viruses, malware, or other harmful code
• Use the Platform to discriminate against any individual on the basis of race, gender, religion, disability, nationality, or other legally protected characteristic

We reserve the right to suspend or terminate accounts that violate this Section.

6. Designer/Talent Vetting

Designers who apply to join the Talent Marketplace consent to:

• Submission of portfolio work for review
• Completion of timed skill assessments
• Participation in a recorded technical interview, with recordings retained and shared with prospective Clients for evaluation purposes, as described in our Privacy Policy
• Reference and background verification, where applicable

Careerquil uses reasonable efforts to verify the accuracy of Designer qualifications but does not guarantee the accuracy, completeness, or suitability of any Designer for a particular role. Clients remain responsible for their own hiring decisions.

7. Job Listings and Employer Obligations

Employers/Clients posting job listings agree to:

• Provide accurate and lawful job descriptions, requirements, and compensation information
• Not post listings that are discriminatory, fraudulent, or for illegal purposes
• Not use the Platform to collect personal information from applicants for purposes unrelated to legitimate hiring
• Comply with all applicable employment and labor laws in their jurisdiction and the Designer’s jurisdiction, including wage, tax, and worker classification laws

Careerquil is not a party to any employment, contractor, or service agreement formed between a Client and a Designer, and is not responsible for the terms, performance, or outcome of that relationship unless separately agreed in writing.

8. Fees and Payment

• Fees for hiring Talent through the Marketplace, CV review services, or other paid services will be disclosed prior to purchase
• All fees are stated in [insert currency] unless otherwise specified, and are exclusive of applicable taxes unless stated otherwise
• Payments are processed through third-party payment processors; Careerquil does not store full payment card details
• Fees are generally non-refundable except as required by law or as expressly stated in a specific service’s terms
• Careerquil reserves the right to change pricing at any time, with notice provided for active subscriptions or ongoing engagements

9. Replacement Guarantee

Where a Client hires a Designer through the Talent Marketplace, Careerquil offers a replacement guarantee: if the Designer is not a good fit, Careerquil will replace the Designer at no additional cost within six (6) months of the hire date, subject to any additional terms disclosed at the time of hire. This guarantee does not entitle the Client to a cash refund unless separately agreed.

10. Non-Circumvention

To protect the integrity of the Marketplace, Clients and Designers matched through Careerquil agree not to enter into a direct working relationship that bypasses Careerquil’s platform and fees for a period of [insert time period, e.g., 12 months] following an introduction, without Careerquil’s written consent. Violation of this clause may result in fees owed to Careerquil equivalent to its standard placement fee.

11. Intellectual Property

• The Platform, including its design, text, graphics, logos, and software, is owned by Careerquil or its licensors and protected by intellectual property laws
• You may not copy, modify, distribute, sell, or lease any part of the Platform without our written permission
• Designers retain ownership of their own portfolio work submitted to the Platform, but grant Careerquil a limited, non-exclusive license to display such work to prospective Clients for evaluation purposes
• Clients retain ownership of job listing content but grant Careerquil a license to publish, format, and distribute such listings on the Platform and associated channels (including social media)

12. User Content

You are solely responsible for any content you submit to the Platform (including CVs, portfolios, job listings, and messages). By submitting content, you represent that you have the right to share it and that it does not infringe on any third party’s rights. Careerquil may remove content that violates these Terms at its sole discretion.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Careerquil does not guarantee:

• The accuracy or completeness of information provided by Designers or Clients
• That any Designer will meet a Client’s expectations, or that any job opportunity will result in employment
• Uninterrupted, secure, or error-free access to the Platform

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAREERQUIL AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

Careerquil’s total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Careerquil in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Careerquil, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any dispute between you and another user (Client or Designer).

16. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Platform, other users, or Careerquil. You may terminate your account at any time by contacting us. Sections of these Terms that by their nature should survive termination (including Sections 9, 11, 13, 14, 15, and 18) will survive.

17. Third-Party Services

The Platform may integrate with or link to third-party services (e.g., payment processors, video hosting for interview recordings). Careerquil is not responsible for the practices or content of third-party services, which are governed by their own terms.

18. Dispute Resolution and Governing Law

• These Terms are governed by the laws of [insert governing jurisdiction, e.g., the Federal Republic of Nigeria], without regard to conflict of law principles
• Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation
• If unresolved, disputes shall be submitted to [insert arbitration body/courts, e.g., binding arbitration in Lagos, Nigeria, or the courts of Lagos State]
• You waive any right to participate in a class action lawsuit or class-wide arbitration against Careerquil, to the extent permitted by law

19. Modifications to the Platform and Terms

We may modify or discontinue any part of the Platform at any time. We may also update these Terms from time to time; material changes will be communicated via the Platform or email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy and any additional service-specific terms disclosed at the point of purchase, constitute the entire agreement between you and Careerquil regarding your use of the Platform, superseding any prior agreements.
